Terms of Service

1. Who we are

Dawa EMR is a cloud-based electronic medical records system operated by med-yx (Medical Enterprise & Distribution), a company based in the Republic of South Sudan ("we", "us"). These terms govern the use of the Dawa EMR application and this website. By using either, you agree to them.

2. The service

Dawa EMR is provided to licensed healthcare facilities — clinics, hospitals, and healthcare groups — under a signed service agreement between the facility and med-yx. The facility's agreement sets the subscription, the number of facilities covered, and any terms specific to that facility. If the signed agreement and these terms conflict, the signed agreement wins.

3. Accounts and access

  • Each facility appoints an administrator, who creates individual accounts for staff. Every user must have their own account — shared logins are prohibited (see the Usage Policy).
  • You are responsible for keeping your credentials secret and for all activity under your account.
  • The facility is responsible for ensuring its staff use the system lawfully and in line with these terms.

4. Subscriptions and payment

  • Subscriptions are billed per facility as set out in the service agreement. Quoted prices are in US Dollars unless the agreement states otherwise; payment may be made in South Sudanese Pounds at the prevailing rate on the invoice date.
  • If an invoice remains unpaid past its due date, we may place the facility's access in read-only mode after notice. We do not delete or withhold patient records because of non-payment — see section 6.

5. Medical responsibility

Dawa EMR is a record-keeping and administration tool. It does not provide medical advice, diagnosis, or treatment recommendations, and it is not a substitute for professional clinical judgement. All clinical decisions remain the sole responsibility of the treating healthcare professionals and the facility. We are not liable for clinical outcomes.

6. Your data

  • The facility owns its data. Patient records entered into Dawa EMR belong to the facility (subject to patients' rights under applicable law). We process that data only to provide the service, as described in the Privacy Policy.
  • We never sell data, never use patient data for advertising, and never share it except as required to provide the service or by law.
  • On termination, the facility may request a full export of its data. Clinical records are retained and disposed of in line with applicable medical-records law — never casually deleted.

7. Availability

We work to keep Dawa EMR available at all times, but no online service can promise 100% uptime. Planned maintenance is announced in advance where possible. We are not responsible for outages caused by the facility's internet connection, devices, or power supply. The application is designed to tolerate short connection drops.

8. Acceptable use

Use of Dawa EMR is subject to the Usage Policy, which forms part of these terms. We may suspend accounts or facilities that violate it.

9. Intellectual property

The Dawa EMR software, design, and branding belong to med-yx. The facility receives a right to use the service for the duration of its subscription — not a licence to copy, resell, or reverse-engineer the software.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the service in any 12-month period is limited to the subscription fees the facility paid in that period. We are not liable for indirect losses (lost profits, lost business) — though nothing in these terms limits liability that cannot lawfully be limited.

11. Termination

Either party may terminate as set out in the service agreement. We may suspend or terminate immediately for serious violations of these terms or the Usage Policy, or where required by law. Section 6 (your data) survives termination.

12. Changes

We may update these terms as the service evolves. Material changes will be notified to facility administrators in advance. Continued use after the effective date means acceptance.

13. Governing law

These terms are governed by the laws of the Republic of South Sudan. Disputes will first be addressed in good-faith discussion between the parties; failing that, in the courts of South Sudan, unless the facility's service agreement provides otherwise.
